General Terms of Use
The web pages available at http://www.isdb-engage.org (the Website) are owned and operated by Islamic Development Bank and are accessed by you (the User) under the following general Terms of Use. These Terms of Use provide the terms and conditions of your use of the services on the Website (the Services). The Terms of Use may be modified or amended, from time to time at Islamic Development Bank’s sole discretion. Please, read these Terms of Use with attention, in addition, please note that you will be updated as to any modifications or amendments to the Terms of Use, you will be required to provide your acceptance of these as Terms of Use using the tool provided (including each time they are modified and/or amended, before you may use the Services on the Website). The Website is designed and made available as a platform to host innovation calls and facilitate the transmission of the candidate's applications to answer such innovation calls. The Website also allows building networks and connections between companies, innovators and investors as well the exchange of information between the different users. You agree that it shall not be used by you as a User for any other purpose.
1. Access to the Services
Subject to these Terms of Use, Islamic Development Bank may offer to provide certain services, as described more fully on the Website, and which are selected by the User through the process provided on the Website. User agrees that any Services are solely for User's own use, and not for the use or benefit of any third party. Services shall include, but not be limited to hosting of the innovation calls and the transmission of the related candidate's application. Islamic Development Bank may change, suspend or discontinue the Services at any time, including the availability of any feature, database, or content. Islamic Development Bank may also impose limits on certain features and services or restrict User’s access to parts or all of the Services without notice or liability. User is responsible for all of its activity in connection with the Services and accessing the Website. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of User’s right to Services or to access the Website. Use of the Website or Services to violate the security of any computer network, passwords or security codes, transfer or store illegal material including that which are deemed threatening or obscene, or engage in any kind of illegal activity is expressly prohibited. Under no circumstances shall the Islamic Development Bank be liable for any loss, damage, liability, or expense incurred or suffered which is claimed to result from User’s access to the Website or materials made available on the Website, including without limitation, any fault, error, omission, interruption, or delay with respect thereto.
2. Content of the Website
The Website and its contents may only be used in accordance with the Terms of Use. The materials displayed or performed on the Website, including, but not limited to text, graphics, articles, photographs, images and illustrations (the Content) and are protected by copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. User shall abide by all copyright notices, information, and restrictions contained in any Content accessed through the Services. Copying, using or storing any Content for any use, other than such noncommercial use necessary for accessing the Services, is expressly prohibited without prior written permission from Islamic Development Bank or from the copyright or any other intellectual property rights holder identified in such Content's copyright notice. User acknowledges and agrees that if they use any of the Services to contribute Content to the Website, Islamic Development Bank is hereby granted a non-exclusive, worldwide, royalty-free, transferable right to fully exploit such Content (including all related intellectual property rights) for the purpose of transmitting the Website and rendering the Services. User warrants, represents and agrees that it will not contribute any Content that is infringing, libelous, defamatory, obscene, pornographic, abusive, and offensive or otherwise violates any law or right of any third party. Islamic Development Bank reserves the right to remove any Content from the Website at any time, for any reason (including, but not limited to, receipt of claims or allegations from third parties or authorities relating to such Content or if Islamic Development Bank is concerned that such Content is infringing, libelous, defamatory, obscene, pornographic, abusive, and offensive or otherwise violates any law or right of any third party ), Notwithstanding the above, Islamic Development Banks reserves all rights to remove any Content at any time at its sole discretion.
3. Users
User certifies to Islamic Development Bank that if User is an individual (i.e., not a company) User is at least 18 years of age. User also certifies that it is legally permitted to use the Services and access the Website, and takes full responsibility for the selection and use of the Services and access of the Website. User shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access the Website or otherwise use the Services, including, without limitation, modems, hardware, software, and long distance or local telephone service. User shall be responsible for ensuring that such equipment or ancillary services are compatible with the Services.
4. User's Registration and Security
As a condition to using certain Services, User may be required to sign up, by registering his/her name, email address and other details, required as a case may be and to select a User ID and a password. User shall provide accurate, complete, and updated registration information. User may not select or use as a User ID a name of another person or use as a User ID a name subject to any rights of a person other than User without appropriate authorization. Failure to comply with these provisions shall constitute a breach of the Terms of Use, which may result in a refusal to register the User or a termination of User's account. User shall be responsible for maintaining the confidentiality of its User ID and password and may not disclose such password to any third parties. User shall not use its User ID or password for any means other than their access of the Services on the Website. User shall notify Islamic Development Bank immediately upon becoming aware of any unauthorized use of its account or breach of security, including, any loss or unauthorized disclosed of its login information and/or password.
5. Innovation Calls
An “Innovation Call" is submitted on the Website by an individual or representative of an enterprise or organization, duly authorized by Islamic Development Bank (the Call Submitter) and includes the information and data necessary to provide an application to answer an Innovation Call, including the specific terms and conditions of an Innovation Call, defined at Call Submitter's sole discretion.
6. Applications to participate to an Innovation Call
Candidate refers to an individual, team or an organization submitting a completed application to participate in an Innovation Call posted on the Website. If the User is acting as a Candidate, the User warrants that it is authorized to make the disclosure and has all the rights, licenses, permissions and consents necessary to provide the information and data, submitted in an application for an Innovation Call (the Application Data). Each Candidate further agrees to comply with any additional terms and conditions applicable for an Innovation Call, as the case may be. Candidate warrants, represents and undertakes that Application Data does not breach intellectual property rights of any third party, is not subject to any confidentiality restrictions and is not subject to any employment restrictions.
7. Evaluation of Candidate's Application Data
The Application Data provided by the Candidate(s) shall be independently verified by the Call Submitter team, including, for breach of any intellectual property rights including patents and copyrights as well as any breach of trade secrets or unauthorized disclosure of confidential information. User agrees that, for the purpose of rendering the Services and review of the Applications, the Application Data may be transferred to and processed by third parties who may be required by law to disclose such Application Data to public. Islamic Development Bank, under this Service, acts as a facilitator to bring the Candidate and the Call Submitter together using the Website and is not responsible for any acts or omissions of any Candidates or Call Submitters, and hereby disclaims all such liability to the fullest extent permissible by law. The Call Submitter shall be the ultimate authority in evaluating the Application Data and retaining any information from the Application Data and the Candidate for further review.
8. Warranty Disclaimer
Islamic Development Bank and/or Call Submitter has no special relationship with or fiduciary duty to Candidates. User acknowledges that Islamic Development Bank has no control over, and no duty to take any action regarding: which users gain access to the Website; what Content User accesses via the Website; what effects the Content may have on User; how User may interpret or use the Content; or what actions User may take as a result of having been exposed to the Content. Islamic Development Bank shall, to the fullest extent permissible by law, not be liable for damages, losses (whether direct, indirect or consequential), expenses, liabilities, loss of profits or costs resulting from the use of, access to, or reliance upon the Content or information contained in or available through, the Services or the Website. Islamic Development Bank disclaims and the User releases Islamic Development Bank from all liability, to the fullest extent permissible by law, arising from, or connected to the User having acquired or not acquired Content through the Website. The Website may contain, or direct User to sites containing, information that some people may find offensive or inappropriate. Islamic Development Bank makes no representations concerning any content contained in or accessed through the Website, and Islamic Development Bank will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the Website. Islamic Development Bank does not warrant that functions, materials and information available on the Website (and/or linked to the Website) will be uninterrupted or error free, that defects will be corrected, or that the Website or its server are free of viruses or bugs and other items of a destructive nature. User is responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy particular requirements for the accuracy and security of the data input and output. The Website may contain advice, opinions, and statements of various content providers. Islamic Development Bank does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information provided by any content provider, or any User of this Website, or other person or entity. Islamic Development Bank shall not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect User’s computer equipment, computer programs, data or other proprietary material due to User’s use of the Website or to User’s downloading of any Content on it, or on any website linked to it.
ACCESS TO AND USE OF THE WEBSITE IS AT THE USER’S OWN RISK. THE SERVICES, CONTENT, WEBSITE AND ANY SOFTWARE ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
9. Termination
Islamic Development Bank may terminate the Services at any time by notifying the User. Islamic Development Bank may also terminate or suspend any and all Services and access to the Website by User immediately, without prior notice or liability, if User breaches any of these Terms of Use. All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.
10. Law and Jurisdiction
The Terms of Use and any dispute arising out of them will be governed by the laws of England and Wales without regard to its conflict of law provisions. Islamic Development Bank and User agree and acknowledge that all disputes, controversy or claims arising out of or in connection with Terms of Use, the Website or the Services including any question regarding the existence, validity or termination of the Terms of Use, shall be referred to and be finally resolved by arbitration in accordance with the rules of the Dubai International Finance Centre - London Court of International Arbitration ("DIFC - LCIA") Arbitration Centre (the "Rules"), which Rules are deemed to be incorporated by reference into this paragraph. The number of arbitrators shall be one (1) appointed in compliance with the Rules, and:
-the seat of the arbitration shall be the DIFC, Dubai, U.A.E.;
-the language of the arbitration shall be English; and
-the arbitration shall deal with the question of the costs of the arbitration and all related matters.
Islamic Development Bank and User agree and acknowledge that any dispute and arbitral proceedings may take longer than six (6) months and the Parties agree and acknowledge that in the event that a dispute and/or arbitral proceedings takes longer than six (6) months, such circumstance shall not form the basis of a procedural challenge to any arbitral award that is subsequently delivered. Nothing in this paragraph 11 shall prevent either party from applying to a court of competent jurisdiction for urgent interim relief.
11. Preservation of Immunities
Nothing herein shall constitute or be considered to be a limitation upon or a waiver of the privileges and immunities of Islamic Development Bank, which are specifically reserved.
12. Miscellaneous
The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. If any provision of these Terms of Use are found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect and enforceable. The parties agree that the Terms of Use, Privacy Policy, (which is hereby incorporated herein by reference), and other policies posted on the Website are the complete and exclusive statement of the mutual understanding of the parties and supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of these Terms of Use. As a condition of use of the Website, User agree to indemnify Islamic Development Bank, from and against any and all actions, claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of User’s use of the Website, including without limitation any claims alleging facts that if true would constitute a breach by User of these Terms of Use. User will cooperate as fully as reasonably required in the defense of any such claim. Islamic Development Bank reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by User, and User shall not in any event settle any matter without the written consent of Islamic Development Bank.
